Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of worksharply.com (the “Site”), which is operated by Sharply Technologies Inc. (“Sharply”, “we”, “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

About the Site

The Site provides general information about Sharply, our software product studio, and our mentorship offering for business professionals and engineers. Site content is informational and is not an offer, professional advice, a quote, or a promise of any result.

Submitting a form, arranging a call, or communicating with us does not by itself create a client, employment, or mentorship relationship. Any studio engagement, mentorship service, payment, deliverable, or other paid service is governed by the separate agreement, invoice, or purchase terms provided for that service. Those separate terms control if they conflict with these Terms.

The Site does not collect or process payments. After becoming a client or mentorship customer, you may pay by direct bank transfer or through a payment link hosted by a third-party payment processor. The applicable agreement, invoice, or purchase terms govern the amount, currency, taxes, timing, refunds, and other payment obligations.

Acceptable use

You may use the Site for lawful informational and business purposes. You must not misuse the Site, interfere with its operation or security, attempt unauthorized access, introduce malicious code, infringe another person’s rights, or use automated requests in a way that burdens the Site.

We may restrict access where reasonably necessary to protect the Site, our systems, our users, or legal rights.

Intellectual property

The Site and its content, branding, design, and software are owned by Sharply or our licensors and are protected by applicable law. You may view and share links to the Site for lawful purposes. No other rights are granted.

You are responsible for information and files you submit and must have the right to provide them. You permit us and our service providers to process submissions as reasonably necessary to respond, assess an application or potential engagement, protect the Site, and provide anything you request. Personal information is handled under our Privacy Policy.

Third-party services

The Site may link to services we do not control, including social-media sites. Payment links provided after engagement lead to a third-party payment processor. Third-party terms and policies apply to those services, and we are not responsible for their availability, content, security, or practices.

Disclaimers and liability

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we do not guarantee that it will always be available, secure, error-free, complete, or current, and we disclaim implied warranties relating to the Site.

To the fullest extent permitted by law, Sharply and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, opportunity, or goodwill, arising from the Site or these Terms. Our total liability relating to the Site or these Terms will not exceed CAD $100.

Nothing in these Terms excludes any warranty, remedy, or liability that cannot lawfully be excluded or limited. Liability relating to a paid service is governed by the applicable agreement or purchase terms.

General

We may update these Terms by changing the effective date above. Changes do not amend an existing service agreement or purchase terms.

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. You and Sharply submit to the courts of Ontario, subject to mandatory rights under the law where you live.

If any provision is unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy form the entire agreement regarding use of the Site.
